Corporate Development (Mergers and Acquisition) - MBA Intern to
participate and manage all aspects of the pre-close deal cycle, and
any post-close activities as appropriate. The intern reports
directly to the SVP of Corporate Development and is an integral
part of ADB Companies' strategy development and execution, working
closely with seller entities, third-party advisors and internal
functional and business leaders to drive inorganic growth and
execute on ADB's strategic plan. The ideal candidate will be detail
orientated, innovative, metrics- and goal driven, with a strong
work ethic and an ALL IN attitude to achieve results.High Level
Role and Responsibilities:Manage Inorganic Growth - Participate in
and/or manage all activities in the Mergers and Acquisitions deal
cycle, including but not limited to: origination, valuation,
negotiation and due diligence. Contribute and lead the due
diligence process during pre-acquisition, provide insight on
decision making pertaining to financials, business plans, vision,
people, etc. Provide high-level acquisition program management by
acting as the liaison between the seller entities and ADB's
third-party diligence providers to prepare the organization for
post-acquisition functions to integrate companies into ADB
processes, operating systems and culture. Ensure ADB meets or
exceeds projected business outcomes/ROI on all acquisitions. Build
Mergers and Acquisitions into a core competency and capability of
ADB and foster acquisition integration into institutional
knowledge.Collaborative Leadership - Serve as a key advisor and
collaborate with division and functional leaders. Participate in
the continuous evaluation of short and long-term inorganic growth
objectives and initiatives. Serve as a key interface with capital
sponsors, third party service providers, target company sellers and
their advisors and team members, and all other outside
stakeholders. Model exemplary leadership in making challenging
business decisions, gaining a people following, participating in
and driving company culture, holding others accountable, and
managing the outcomes of results while balancing change and the
innovation necessary to yield future growth.Provide Internal
Customer Service - Add value as a change agent, continuously
challenging the company to achieve greater performance while
questioning the status quo and providing recommendations as
necessary. Provide support and service excellence to division
leaders and other internal stakeholders including, but not limited
to: Human Resources, Recruiting, Fleet, Accounting, IT, Safety,
Operations, etc. Set the example for how support functions are
value-added business partners for all aspects of the company.Deal
Cycle Management - detailed activities (subject to evolve over
time, and duties assigned will be dependent on capacity, skillset
and deal-flow at time of internship):OriginationTransaction
Analysis - provide analysis on merits of prospective companies.
Review and analyze CIMs, company data, etc. Review all deals based
on strategic fit and partner fit of target company.Seller
Engagement - participate and facilitate in introductory and pre-LOI
meetings.Upstream engagement - participate in meetings with
third-party Acquisition Search partner and provide input on
outbound/target company profiles. Partner with ADB leaders on their
referrals to understand merits of target companies and
follow-through on bringing the target company into ADB's propriety
deal cycle.Due DiligenceData Management - manage flow of incoming
data; organize and circulate relevant information with ADB internal
team members; ensure completion of requests. Partner with providers
as appropriate.Workstream Management - facilitate meetings and
interactions with ADB third party advisors and with sellers, as
necessary. Document notes, provide input and follow-up on action
items as appropriate.Capital Sponsor Liaison - work in unison with
Warren Equity Partners investment team on all requested activities,
such as data management, funds flow, financing efforts, business
diligence and other diligence items.Integration Preparation -
prepare the organization for post-close. Lead weekly meetings with
functional leaders and target company stakeholders. Prepare meeting
agendas, facilitate discussion, distribute summary notes and
takeaways, and make appropriate updates to all parties.SUCCESS

will be required to wear common protective of safety equipment,
such as safety glasses, gloves, hearing protection, hard hats, and
steel toed boots.EXPERIENCE AND EDUCATION:5+ years' experience in
high-level business role, with cross-functional exposure and
driving strategy and/or strategic initiative requiredM&A
experience not necessary! General business background and an
interest in partnering with seller entities as they navigate
selling their business is just as importantBachelor's Degree in
